TERMS AND BUSINESS FOR ALL ADVERTISERS ON CHANNEL U

1. The Company means Trinity Media Broking Limited or Trinity Media Group Limited

2. The Advertiser means any person, company, institution or advertising agency, placing an advert with the Company

3. Channel U means the network where the advert is to be transmitted

4. The Advert means an audio visual film promoting an advertisement

5. Advertising Spot means a 30 (or more) continuous seconds of transmission of the advert

6. Copy means the complete advert ready for transmission and supplied on a digital format as notified by the Company at the time the Advertiser contracts with the Company for advertising spots

7. These conditions shall apply to all advertisements accepted for transmission. No variation of these conditions shall be binding unless prior written agreement

8. All advertisements are subject to advertising spots being available and approval of the copy

9. The Company reserves the right to omit or suspend an advertisement at any time subject to good reasoning in which case no claim on the part of any advertiser for damages or breach of contract shall arise. Should such omission or suspension be due to the act or default of the advertiser or his servants or agents, then the advertising spots reserved for the advertisement shall be paid in full not withstanding that the advertisement has not been transmitted. Such omission or suspension will be notified to the Advertiser as soon as possible

10. The Company reserves the right to amend advertising rates and conditions at any time subject to reasonable notice of any changes when outstanding orders are concerned

11. The Advertiser warrants that the advertisement does not contravene any Act of European Parliament, nor is it any other way illegal or defamatory or an infringement of the European Code of Advertising Practice

12. All advertisements must be cleared by the British Advertising Clearance Centre (BACC) prior transmission

13. The Advertiser will indemnify the Company fully in respect of any claim made against the Company arising from the advertisement. The Company will consult with the Advertiser as to the way in which such claims are to be handled

14. The Company does not accept liability for non-transmission or errors in any advertisement

15. The Advertiser undertakes responsibility for delivery of copy instructions by the agreed “copy date”

16. All advertisements shall be prepaid 14 days prior to the first transmission date unless otherwise agreed

17. The Company reserves the right to levy a 5% surcharge on any overdue accounts

18. All advertising copy is held at the owners’ risk and should be insured against loss and damage from whatever cause

19. Cancellations – The Advertiser must give at least 21 working days notice in writing (by recorded post) prior to transmission otherwise the Advertiser will be responsible for the full payment agreed

20. The Advertiser is deemed to have accepted these terms and conditions by the placing of any order with the Company for advertising spots

21. These conditions and all other express terms of contract shall be governed and constructed in accordance English law
